Customer Terms and Conditions

1. Eligibility and Registration
   1. Individual Customers: If you register using your personal email, you alone are entitled to the rights and responsible for the obligations under these Terms.
   2. Business Customers: If you register on behalf of a business entity (such as your employer), you represent and warrant that you have obtained any necessary permissions and have the authority to bind such entity to these Terms. “You” and “your” will refer to that business entity.
   3. Authorized Users: If your access is provisioned by your company, your use is controlled by your company, which is the Customer and entitled to all rights and obligations under these Terms.
   4. You must be at least 18 years old and capable of forming a binding contract to use the Services.
2. Account Management
   1. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
   2. If you are an Entity, you may manage access for Authorized Users, including provisioning, deprovisioning, and managing permissions.
   3. You agree to provide and maintain accurate, current, and complete information for your account.
3. Use of Services
   1. You may use the Services only for your internal business purposes and not for resale or unlawful purposes.
   2. You must comply with all applicable laws and ensure your team and invitees do the same.
   3. ProRate ai may provide support as described on our website or through specified channels.
4. Fees, Billing, and Payment
   1. Subscriptions are billed in advance, either monthly or annually, as selected.
   2. All fees are non-cancellable and non-refundable except where required by law.
   3. You are responsible for keeping your billing information up to date.
   4. Late or failed payments may result in suspension or termination of your access.
   5. All fees are exclusive of applicable taxes, which may be charged as required by law.
5. Data Ownership and Privacy
   1. You retain ownership of all data you upload to the Services (“Customer Data”).
   2. ProRate ai retains all rights to its software, algorithms, analytics, and intellectual property.
   3. Our Privacy Policy governs how we collect, use, and store your data.
   4. You are responsible for the accuracy, quality, and legality of your Customer Data and how you acquire it.
6. Security
   1. ProRate ai implements commercially reasonable security measures to protect your data, but you are responsible for how you use the Services and for maintaining the security of your networks and credentials.
   2. You must promptly notify ProRate ai of any unauthorized use of your account.
7. Acceptable Use
   1. You agree not to:
      1. Violate laws or third-party rights.
      2. Introduce harmful code, spam, or disrupt the Services.
      3. Use the Services in a way that impacts others' access or performance.
      4. Reverse-engineer, misuse, or attempt to gain unauthorized access to the Services.
   2. ProRate ai reserves the right to investigate and take action against violations, including suspension or termination of your account.
8. Third-Party Integrations
   1. The Services may allow integration with third-party applications (“TPAs”). Your use of TPAs is governed by your agreement with the relevant provider, not these Terms.
   2. ProRate ai is not responsible for the security or privacy of data shared with or from TPAs.
9. Term, Termination, and Suspension
   1. You may cancel your subscription at any time; access continues until the end of your billing cycle.
   2. ProRate ai may suspend or terminate your access for violation of these Terms or applicable law.
   3. Upon termination, you are not entitled to any refunds or credits, and all outstanding payment obligations become due immediately.
10. Disclaimer of Warranties

    The Services are provided “as is” without warranties of any kind. ProRate ai disclaims all express and implied warranties, including fitness for a particular purpose and non-infringement.

11. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRO RATE AI’S LIABILITY IS LIMITED TO THE FEES PAID FOR THE PRIOR 12 MONTHS. WE ARE NOT LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES.

12. Changes to Terms
    1. ProRate ai may update these Terms periodically. We will notify you via email or in-app announcement. Continued use of the Services indicates acceptance of the new terms.
13. Governing Law & Dispute Resolution
    1. These Terms are governed by the laws of the State of Illinois.
    2. Any dispute will be resolved in the state or federal courts located in Cook County, Illinois.
